Overview

Job Summary

Draft, review, negotiate and provide legal advice regarding commercial real estate contracts and related documents and matters, including litigation and coordination of all legal activities related to Store Development.  Consistently provides world class customer service to internal and external customers.  Performs other related work.

 

Typical Duties and Responsibilities:

  • Lead the preparation of purchase agreements, ground leases, building leases, development agreements, easements, declarations and use restrictions and other related transactional documents. Review, analyze and negotiate all such documents.
  • Lead the management all transactional aspects of commercial development for in-house projects and projects assigned to outside counsel.
  • Lead the Management entitlement aspects of commercial development and have familiarity with land use/entitlement issues related to commercial property development.
  • Lead the review of construction contracts and related agreements to ensure terms most favorable for the company.
  • Manage the day-to-day responsibilities and workload of paralegals assigned to real estate and construction projects.
  • Manage outside counsel responsible for obtaining land use approvals and representing company in related litigation, as well as manage associated fees and budget related to such litigation.
  • Review due diligence materials, including title reports and surveys, conveyance documents and other matters affecting real estate.
  • Coordinate with real estate developers and outside legal counsel, as well as with internal departments.
  • Manage a high volume of real estate and construction transactions (over 50) at any given time.
  • Provide legal advice and counsel on private property rights, trespass laws and petitioner/solicitor activities on company property.
  • Provide legal advice and counsel on Title III (public access) of the ADA related issues and litigation; manage related litigation.
  • Assess facts and business terms, apply legal principals and confidently convey advice to clients.
  • Research legal issues and remain current on all real estate and construction related legal trends and risks.
  • Suggest ways to improve financial savings and exceptional performance, as well as minimize risk to the company.
  • Perform other duties as needed.

Requirements

Education:

  • Juris Doctorate Degree and admission to State Bar in at least one State.

 Experience:

  • At least five (5) years of legal experience in an established law firm or in-house organization.
  • At least three (3) years of legal experience in real estate transactions and/or construction related contracts.
  • Demonstrating expertise and experience drafting and negotiating commercial real estate agreements.
  • Demonstrating knowledge of real estate and related laws including the ability to provide sound and practical legal advice.
  • Demonstrate familiarity with private property rights of business, trespass laws and petitioner/solicitor issues on private property.
  • Practicing leadership abilities and effective working relations with all levels of the organization.
  • Exhibiting excellent organizational, analytic and communications skills.
  • Demonstrating integrity and unquestionable ethics.
  • Displaying effective presentation capabilities and interpersonal skills.
  • Demonstrating a high level of maturity, presence, and discretion in handling of sensitive and confidential information.

 Ability to:

  • Ability to work in fast paced environment with quick turnaround.
  • Prioritize and perform a variety of simultaneous tasks (multi-tasking), effectively manage time to ensure that deadlines are met.
  • Identify legal or contractual issues and develop new approaches to resolve complex issues.
  • Provide legal advice to senior management regarding various real estate matters.
  • Remain current on federal and state laws.
  • Perform work independently, with little or no administrative support.
  • Assist in litigation case management from inception to settlement.
  • Demonstrate excellent organizational, analytic and communications skills.
  • Travel occasionally as needed.

 Preferred Education, Experience and/or Credentials:

  • Experience with commercial property development in a law firm or corporate environment.
